8.2 Damage Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to your use of our Platform, violation of these Terms, or infringement of any third-party rights.

10. Dispute Resolution and Arbitration

10.1 Mandatory Arbitration

Any dispute arising out of or relating to these Terms or our Platform shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

10.2 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST THE COMPANY. ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

11. Termination

We may terminate or suspend your access to our Platform at any time, with or without cause or notice. Upon termination, your right to use our Platform will cease immediately, and any provisions of these Terms that by their nature should survive termination shall remain in effect.
